Job Description:
The Corporate Governance Paralegal will manage and oversee domestic and international subsidiary matters, support compliance and credit facility initiatives, and assist with complex acquisition, disposition, and restructuring transactions. This role involves working with tax, treasury, and legal teams to ensure compliance and streamline processes.
Key Responsibilities:
- Prepare resolutions, contributions, assignments, distributions, and other corporate governance documents.
- Partner with Tax, Treasury, and Finance teams to support global initiatives from a legal perspective.
- Manage domestic and international compliance filings and oversee subsidiary processes.
- Collaborate with outside counsel on global finance and tax restructuring projects.
- Lead quarterly sanctions reporting and special initiatives requested by leadership.
- Work with third-party providers on domestic and international compliance.
Qualifications:
Must Have:
- 10+ years of senior-level corporate governance paralegal experience.
- Strong background in subsidiary management for a global corporation.
- Exceptional organizational skills and ability to manage tasks independently.
- Paralegal certification from an accredited institution.
Preferred:
- Bachelor’s degree in a related field.
- Experience with sanctions reporting is a plus, but not required.
